General Terms and Conditions of Sale (GTCS)

These general terms and conditions of sale govern all services provided by VJ EVENT/BOOKMYVJ (hereinafter referred to as “the provider”) to professionals, individuals, associations, and works councils (hereinafter referred to as “the client”), and aim to define the rights and obligations of both VJ EVENT/BOOKMYVJ and the client. Confirmation of a service implies the client’s irrevocable acceptance of these terms and conditions.

ARTICLE 1 – Scope of Application

These general terms and conditions form the basis of commercial negotiation and apply to all sales concluded by VJ EVENT/BOOKMYVJ , regardless of any contrary clauses that may appear in the client’s documents, especially their general terms of purchase.

In accordance with current legislation, VJ EVENT/BOOKMYVJ reserves the right to derogate from certain clauses in these terms based on negotiations with the buyer, by establishing specific terms of sale.

ARTICLE 2 – Obligations of the Parties

Provider's Obligations:
VJ EVENT/BOOKMYVJ undertakes to deliver the services as detailed in the signed quote.

Client's Obligations:
The client shall provide VJ EVENT/BOOKMYVJ with all information necessary for the proper execution of the confirmed services. The client shall pay VJ EVENT/BOOKMYVJ for all services rendered in their interest as per the signed quote. Any service not specified in the confirmed quote that is requested by the client will be subject to an additional agreement.

ARTICLE 3 – Confirmation Terms

The booking is firm, final, and non-cancellable without compensation upon receipt of a signed quote or contract bearing the mention “approved” and accompanied by a deposit of 50% of the total including tax. The remaining balance (70%) is due upon receipt of the final invoice the day of the event.

ARTICLE 4 – Cancellation

All cancellations must be made in writing (registered letter with acknowledgment of receipt). In case of total or partial cancellation, the service price will remain due as follows:

• More than 60 days before the event: 20% of the total incl. VAT

• Between 60 and 30 days before the event: 50% of the total incl. VAT

• Between 30 and 7 days before the event: 70% of the total incl. VAT

• Less than 7 days before the event: 100% of the total incl. VAT

Payments must be made within 8 days of the cancellation.

These conditions apply to all services invoiced by VJ EVENT/BOOKMYVJ, except for video mapping.
Any cancellation by VJ EVENT/BOOKMYVJ except for the cases listed below, will result in a full refund of the amounts paid, without prejudice to any potential compensation for damages.

VJ EVENT/BOOKMYVJ shall not be held liable in case of total or partial cancellation due to force majeure (e.g., fire, flood, natural disasters, strikes, riots, etc.).

Neither party shall be held responsible for failure to perform their contractual obligations if caused by a force majeure event recognized under French law, provided that the affected party notifies the other party as soon as possible, does its best to mitigate the consequences, and resumes performance as soon as the force majeure ends.

If the force majeure continues for more than one (1) month, either party may terminate the contract without compensation by registered letter with acknowledgment of receipt or an equivalent method.

ARTICLE 5 – Payment Terms

VJ EVENT/BOOKMYVJ will not begin any work until the deposit has been paid, even if the quote has been signed.

Non-payment and Late Payment
If the deposit is not paid within eight (8) days of a payment reminder (sent by any means, including electronic), VJ EVENT/BOOKMYVJ may suspend its services and/or delivery of deliverables without notice or compensation.

Late or missing payments are subject to (I) a flat-rate recovery charge of €40 and (II) a late payment penalty calculated based on the most recent ECB refinancing rate, plus 10 percentage points, in accordance with Article L441-6 of the French Commercial Code.

No changes to the agreed pricing or terms may be negotiated on the day of the service.

ARTICLE 6 – Liability and Insurance

Any loss, damage, disappearance, or breakage of the equipment made available to the client will be charged at the replacement cost and is not included in the service fee. The client must insure the equipment for its full replacement value, including risks such as theft, loss, or damage.

The client waives any claim against VJ EVENT/BOOKMYVJ for damage to their or their partners' property, including fire, water damage, theft, or vandalism. The client is solely responsible for any civil liability risks during the event.

ARTICLE 7 – Confidentiality

The provider is bound by professional secrecy. However, VJ EVENT/BOOKMYVJ reserves the right to share necessary information with its suppliers and subcontractors solely for service execution.

The client agrees not to disclose the commercial proposal from VJ EVENT/BOOKMYVJ, which is confidential.

Additionally, both parties agree to keep strictly confidential any other information obtained from each other during the contract’s execution.

ARTICLE 8 – Intellectual and Artistic Property

According to Articles L.111-1 and L.123-1 of the French Intellectual Property Code, VVJ EVENT/BOOKMYVJ’s proposal and content remain its exclusive property and may not be shared or implemented by another agency, service provider, or internal department of the client or its partners.

ARTICLE 9 – Publicity and Image Rights

For promotional purposes, VJ EVENT/BOOKMYVJ is authorized to reproduce or publish non-confidential event data on its website or other media, including the client’s business name or brand, logo, event description, photos, videos, and written or audio testimonials.

The client confirms having obtained express permission from all third parties appearing in the event data, including from parents or guardians for minors, and holds VJ EVENT/BOOKMYVJharmless against any third-party claims.

If the client uses any photos, videos, written or audio content related to VJ EVENT/BOOKMYVJ’s performance, they agree to include the credit: “Creative service: VJ EVENT/BOOKMYVJ.”

ARTICLE 10 – Disputes and Jurisdiction

This contract is governed and interpreted according to French law.

In any case, any dispute arising from the execution of this contract must first be subject to an attempt at amicable resolution.

If amicable settlement fails, any dispute, controversy, or claim arising out of or related to this contract shall be submitted to the Commercial Court of Nanterre.
